Brittany is involved in corporate and commercial matters, including capital markets, mergers and acquisitions, and corporate finance. Her work also includes employment matters and funds-related matters in the private equity and venture capital space.

Career

Brittany commenced legal practice in 2022 after having completed her training with our team.

Notable Experience

  • Proposed initial public offering of, amongst others: (i) a Chinese hydro and solar energy group (with state-owned interest) (Singapore Exchange, Main Board); and (ii) a Japanese battery start-up (Singapore Exchange, Mainboard) via reverse takeover.
  • Post-IPO actions including: (i) the private placement of ordinary shares in the capital of Transit-Mixed Concrete Ltd (n.k.a Abundante Limited) (Singapore Exchange, Main Board); (ii) rights issue of AcroMeta Group Limited (Singapore Exchange, Catalist Board); and (iii) the amendment of Hiap Tong Corporation Ltd.’s (Singapore Exchange, Catalist Board) scrip dividend scheme.
  • Mergers and acquisitions and private equity investments including: (i) the acquisition of 12 units at Prudential Tower by 3 HNWIs; (ii) representing DocMed Technology Pte. Ltd. (a wholly owned subsidiary of Hyphens Pharma International Limited) in its series A fundraising round; and (iii) Digital Entertainment Asset Pte. Ltd. in a US$10m fundraising round by a North American investment firm (LDA Capital).
  • Start-up and technology-related matters, including convertible notes and simple agreements for future equity and warrant instruments (CAREs/SAFEs), and the preparation of Singapore legal opinions on the compliance of certain cryptocurrencies and blockchain projects with prevailing laws and regulations.
  • Investment fund formation of both open and close ended funds across a range of investment strategies including distressed real estate and healthcare.
